1. AGREEMENT TO THESE TERMS
 
These Terms and Conditions ("Terms") are a binding agreement between you and The Model Club ("The Model Club," "we," "us," or "our"), operated by The Mr. Coleman Group. They govern your use of www.themodelclub.net (the "Site"), your membership, and any workshop, event, booking, or service you obtain from us.
 
By using the Site, creating an account, registering as a model or a brand, or purchasing a membership, you agree to these Terms. If you do not agree, please do not use the Site or our services.
 
Please read them together with our Privacy Policy, our Cookie Policy, and our GDPR Notice.
 
2. WHAT THE MODEL CLUB IS AND IS NOT
 
The Model Club is an education and community membership for models and emerging talent. What we provide is instruction, mentorship, community access, events, and the branding materials described in each membership tier.
 
The Model Club is not a talent agency, a modeling agency, an employment agency, a talent scout, or a manager. We do not procure, offer, promise, or attempt to procure employment or engagements for you, and we do not act as your representative or agent. We do not charge any fee in exchange for employment, for an audition or casting, or for the promise of any of these.
 
Membership fees are paid for the education, community access, and materials described in your tier. They are payable whether or not you obtain any engagement, and they are not contingent on any engagement.
 
We do not negotiate on your behalf, we do not collect or hold your earnings, and we take no commission or percentage of anything you earn.
 
3. ELIGIBILITY AND YOUR ACCOUNT
 
You must be at least 18 years old to create an account or purchase a membership. By registering, you confirm that you are 18 or older and that the information you give us is accurate and complete.
 
You are responsible for your login credentials and for everything that happens under your account. Keep your password confidential and tell us immediately if you believe your account has been used without your permission. We may refuse, suspend, or close an account at our discretion.
 
4. MEMBERSHIP TIERS
 
We offer membership at different levels. The benefits included in each tier are described on the Site at the time you subscribe, and that description forms part of these Terms.
 
Benefits are for your personal use only. You may not share, resell, or transfer your membership, your login, or access to member-only materials, community channels, workshops, or events.
 
We may add, change, or withdraw individual benefits as the community develops. If we make a change that materially reduces what you are paying for, we will tell you before it takes effect and you may cancel.
 
5. FEES, BILLING, AND RENEWAL
 
Membership fees, the billing period, and any applicable taxes are shown at checkout. Paid memberships renew automatically at the end of each billing period at the then-current rate until you cancel.
 
By subscribing you authorize us and our payment providers to charge your payment method on each renewal date. It is your responsibility to keep your payment details current. If a payment fails, we may retry it and may suspend access until the balance is paid.
 
We may change our prices. Any price change applies from your next billing period, and we will give you notice before it takes effect.
 
6. CANCELLATION AND REFUNDS
 
You may cancel a paid membership at any time from your account or by emailing us. Cancellation stops future renewals. Your access continues to the end of the billing period you have already paid for.
 
Membership fees are non-refundable except where the law requires otherwise, or where we cancel a program or fail to deliver a benefit you have paid for.
 
If you cancel, we may remove your directory listing and member-only access at the end of your paid period.
 
7. BOOKINGS, WORKSHOPS, AND EVENTS
 
Bookings, workshops, and events are subject to availability and to any additional terms shown at the time of booking, including capacity limits, arrival times, and cancellation windows.
 
If you cannot attend, please cancel within the window shown on the booking. Late cancellations and no-shows may not be refunded or rescheduled.
 
We may reschedule or cancel a session or event. If we do, we will offer you a place on the rescheduled date or a refund of any fee paid for it. We are not responsible for your travel, accommodation, or other costs.
 
You attend sessions and events at your own risk and must follow the safety instructions of the venue and the organizers.
 
8. MEMBER PROFILES AND THE MEMBER DIRECTORY
 
Paid tiers may include a listing in our member directory. The directory is closed. It is visible to signed-in members and to brand partners we have reviewed and approved.
 
You are responsible for the accuracy of your profile. Do not upload images you do not have the right to use, and do not misrepresent your experience, age, or availability.
 
We may edit, decline, or remove a listing that is inaccurate, incomplete, unlawful, or inconsistent with these Terms, and we may remove your listing when your membership ends.
 
9. CONTENT YOU SUBMIT
 
You keep ownership of the photographs, video, text, and other content you submit. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for formatting, and display it for the purpose of operating your membership, producing your comp card and profile, and presenting you to brand partners in connection with opportunities.
 
Using your content in our public marketing is separate. We will ask for your permission first, and you may withdraw that permission for future use at any time.
 
You confirm that you own or have permission to use everything you submit, including any photographer's rights in an image, and that your content does not infringe anyone's rights or break any law.
 
This license ends when you remove the content or your membership ends, except for copies already distributed and for records we must keep.
 
10. COMMUNITY RULES AND CONDUCT
 
The Model Club is a professional community. When you use the Site, our channels, our workshops, or our events, you agree not to:
 
Harass, bully, threaten, discriminate against, or demean anyone.
Post sexual, violent, hateful, or otherwise inappropriate content.
Share another member's photographs, contact details, or personal information outside the community.
Contact members or brand partners to sell unrelated services, recruit for another agency, or spam.
Misrepresent who you are, your age, your experience, or your authority to act for a brand.
Attempt to bypass our systems, scrape the directory, or interfere with the Site's security or operation.
Record or photograph workshops, mentorship sessions, or events without our written permission.
 
Breaking these rules may result in removal of content, suspension, or termination without refund.
 
11. BRAND AND CLIENT SERVICES
 
Brands and companies may register with us and engage us for casting support, campaign collaboration, and related services. Those services are described in the proposal or agreement we provide, and that document governs the engagement together with these Terms.
 
Brands agree to use member information only for the opportunity it was shared for, to keep it confidential, not to retain it longer than needed, and not to add members to unrelated marketing lists.
 
12. OPPORTUNITIES AND INTRODUCTIONS
 
We may share casting notices, collaborations, and creative opportunities with the community as information only.
 
We do not guarantee that you will receive any opportunity, be selected, be paid, or achieve any particular result from your membership. Nothing on the Site is a promise of work, income, representation, or career outcome.
 
Any engagement you enter into with a brand, client, photographer, venue, or other third party is between you and that party. We are not a party to it, and we are not responsible for their conduct, their payment to you, or their compliance with the law. Please use your own judgment, confirm terms in writing, and seek independent advice before signing anything.
 
13. OUR INTELLECTUAL PROPERTY
 
The Site, our name, our logo, our course and workshop materials, and everything we create remain our property or that of our licensors. You may use them only as needed to use your membership.
 
You may not copy, record, republish, resell, or share our educational materials, templates, or member-only content outside the community, and you may not use our name or logo to imply endorsement or affiliation without our written permission.
 
14. THIRD-PARTY PLATFORMS AND LINKS
 
Parts of our community run on platforms we do not control, including WhatsApp, Instagram, our website platform, and our payment and scheduling providers. Your use of those platforms is governed by their own terms and privacy policies.
 
The Site links to third-party sites. We do not control them and are not responsible for their content, products, or practices.
 
15. PRIVACY
 
Our Privacy Policy explains what personal information we collect, how we use and share it, and the rights you have. Our Cookie Policy explains the cookies the Site uses. Our GDPR Notice applies if you are in the European Economic Area or the United Kingdom.
 
16. SUSPENSION AND TERMINATION
 
You may end your membership at any time as described in Section 6.
 
We may suspend or terminate your account, your directory listing, or your access to any part of the Site or community if you break these Terms, if your payment fails, if your conduct puts other members or our partners at risk, or if we are required to do so by law. Where it is reasonable to do so, we will tell you first and give you a chance to put things right.
 
On termination, your right to use member-only materials, channels, and the directory ends immediately. Sections that by their nature should survive, including content licenses already granted, intellectual property, disclaimers, liability, indemnity, and governing law, continue to apply.
 
17. DISCLAIMERS, LIABILITY, AND INDEMNITY
 
The Site, the community, and our educational materials are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error free, and we do not warrant any particular outcome from your membership.
 
Nothing we provide is legal, financial, medical, or immigration advice.
 
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, or lost data. Our total liability to you for any claim relating to these Terms or your membership will not exceed the amount you paid us in the twelve months before the claim arose.
 
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you, and nothing here limits liability that cannot be limited by law.
 
You agree to indemnify and hold harmless The Model Club, The Mr. Coleman Group, and our officers, employees, and partners against claims, damages, and reasonable costs arising from your content, your conduct, your breach of these Terms, or your dealings with a third party you met through the community.
 
18. GOVERNING LAW AND DISPUTES
 
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Florida, and each of us waives any objection to venue there.
 
Before starting a formal claim, please contact us at info@themodelclub.net and give us thirty days to resolve the matter informally. Most issues can be sorted out this way.
 
If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
 
19. CHANGES TO THESE TERMS AND CONTACT
 
We may update these Terms as our services and the law change. When we do, we will revise the effective date and version number shown at the top of this page, and we will tell you about material changes through the Site, by email, or by other reasonable means. Continuing to use the Site or your membership after a change means you accept the updated Terms.
 
These Terms, together with the tier description you purchased and any additional terms shown at booking, are the entire agreement between us.
